Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and TransformingSports OÜ (registry code 16482917), which operates the Transforming Sports platform and related Transforming services ("Transforming," "we," "us," or "our"). They govern your use of our websites, mobile applications, communities, learning services, content, communications, and other services that link to these Terms (together, the "Service").

By creating an account, purchasing access, joining an organization, or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service for an organization, you confirm that you have authority to accept these Terms on its behalf.

1. Eligibility

You must be at least 18 years old and legally able to enter a contract to use the Service. The Service is intended for coaches, educators, professionals, and other adult users. You may not create an account for a child or allow a child to use your account.

2. Accounts and security

You must provide accurate, current information and keep it up to date. You are responsible for activity performed through your account and for protecting your credentials and devices. Accounts are personal and must not be shared unless we expressly support that arrangement.

Tell us promptly at info@transformingbball.com if you suspect unauthorized access. We may require verification, reset credentials, restrict access, or take other reasonable steps to protect the Service and its users.

3. Organizations and administrators

Some access is provided or managed by a club, team, employer, federation, educational body, or other organization. Organization administrators may invite or remove members, assign permissions, manage access, view participation information, moderate content, and configure organization features.

If you are an administrator, you must exercise these powers lawfully and only for authorized purposes. You are responsible for obtaining any notices, permissions, or lawful basis needed for information you provide about members. If an organization controls your account, its decisions may affect your access independently of Transforming.

4. Access to the Service

Subject to these Terms and any applicable purchase or organization agreement, we grant you a limited, personal, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose. No ownership rights are transferred to you.

You may not copy, resell, sublicense, scrape, reverse engineer, bypass access controls, interfere with security, probe for vulnerabilities, overload the Service, use unauthorized automation, or use the Service to build a competing dataset or product, except where applicable law expressly permits an activity that cannot be restricted by contract.

Access may depend on an active purchase, subscription, invitation, membership, role, region, device, or other entitlement. Features and content may vary between users, organizations, platforms, and plans.

5. Your content

You retain ownership of content you create or upload ("User Content"). You grant Transforming a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, adapt for technical purposes, display, transmit, and distribute User Content only as needed to operate, secure, improve, and provide the Service, follow your sharing choices, and comply with law. This licence continues for as long as the content remains on the Service and for reasonable backup, legal, or operational periods afterward.

You are responsible for User Content and confirm that:

• you own it or have all rights, permissions, releases, and lawful bases needed to use and share it;
• its use through the Service will not infringe privacy, publicity, confidentiality, safeguarding, intellectual-property, or other rights;
• where identifiable children or athletes appear, you have appropriate authority and consent to record, upload, and share their information;
• it is not unlawful, misleading, malicious, exploitative, or harmful; and
• it does not contain confidential or sensitive information you are not authorized to disclose.

Feedback and suggestions may be used to improve or promote the Service without compensation, but we do not claim ownership of your underlying User Content.

6. Community standards

You must not use the Service to:

• harass, threaten, abuse, exploit, impersonate, or unlawfully discriminate against anyone;
• publish illegal, hateful, sexually exploitative, dangerously violent, fraudulent, or deliberately deceptive material;
• expose another person's private information without permission;
• infringe copyright, trade marks, privacy, publicity, confidentiality, or other rights;
• distribute spam, scams, malware, unauthorized advertising, or unsolicited commercial messages;
• manipulate engagement, access another account, evade restrictions, or disrupt the Service;
• collect member information for an unrelated purpose or contact members outside the context in which they provided it; or
• encourage conduct that creates a material safety or safeguarding risk.

We may review, restrict, remove, preserve, or disclose content and may warn, suspend, or terminate users where reasonably necessary to enforce these Terms, protect people or the Service, investigate reports, or comply with law. We are not required to monitor every communication and cannot guarantee that all objectionable content will be prevented.

To report content, conduct, intellectual-property concerns, or a safety issue, use any reporting or support tool made available in the Service or contact info@transformingbball.com with sufficient detail for us to investigate.

7. Transforming content and intellectual property

The Service, including its software, design, branding, course materials, videos, text, graphics, templates, databases, and other content supplied by Transforming or its licensors, is protected by intellectual-property law. Unless we expressly allow otherwise, you may use this content only within the Service for your own professional learning or the authorized internal purposes of your organization.

You may not redistribute, publish, record, sell, license, or create a substitute product from protected content. Downloadable resources remain subject to these Terms and any additional notice displayed with them.

8. AI-powered services

Parts of the Service may use artificial intelligence to generate responses, summaries, recommendations, search results, or other outputs. You understand that AI output is generated automatically and may be inaccurate, incomplete, biased, or unsuitable. You must review it using your own judgment before relying on or sharing it.

AI output is not professional, medical, legal, financial, safeguarding, or emergency advice. It should not be the sole basis for decisions affecting a person's health, safety, eligibility, employment, education, or legal rights. Do not use AI features to process confidential, sensitive, or regulated information unless you have authority and an appropriate lawful basis.

You remain responsible for your inputs and your use of outputs. You must not use AI features to generate unlawful or harmful content, evade safeguards, extract system instructions, attack the Service, or infringe another person's rights. We may apply automated and human safeguards, usage limits, and review mechanisms.

9. Coaching and educational information

The Service provides general educational and coaching information. It does not guarantee a particular performance, qualification, commercial result, or outcome. You are responsible for adapting information to the people, environment, rules, safeguarding duties, and risks relevant to your situation and for obtaining qualified advice where appropriate.

10. Purchases, subscriptions, and refunds

Prices, billing periods, included access, renewal terms, taxes, and cancellation options are shown at purchase or in a separate order or organization agreement. Purchases may be processed by an external checkout provider or app marketplace, whose payment terms also apply. Transforming does not intend to receive or store complete payment-card details.

Subscriptions renew as disclosed at purchase unless cancelled before the renewal date. Cancellation normally prevents future renewal and does not retroactively refund the current billing period, except where the purchase terms, our stated refund policy, or applicable consumer law provide otherwise. Loss, refund, reversal, expiry, or cancellation of an entitlement may end access to associated content or communities.

Where Apple, Google, or another marketplace processes a purchase, billing, cancellation, and refund requests may need to be handled through that marketplace. Nothing in these Terms limits mandatory consumer rights.

11. Third-party services and content

The Service may integrate with or link to services, content, devices, or applications operated by others. Your use of them may be governed by separate terms and privacy policies. We do not control and are not responsible for third-party services, but this does not limit responsibility that applicable law does not allow us to exclude.

You authorize us to exchange information with a connected service as necessary to perform the action you request. You can usually disconnect optional integrations, although previously imported or shared information may remain where required to provide the Service or preserve records.

12. Mobile applications and app marketplaces

When you download our mobile application from an app marketplace, the marketplace's rules also apply. These Terms are between you and Transforming, not the marketplace operator. To the extent required by the applicable marketplace rules, the marketplace operator is not responsible for providing or supporting the Service, and it may enforce relevant provisions of these Terms as a third-party beneficiary.

Updates may be required for security, compatibility, or continued operation. Your device settings may install updates automatically.

13. Privacy

Our Privacy Policy explains how we handle personal information. By using the Service, you acknowledge that information will be processed as described there and according to the choices available to you.

14. Service changes and availability

We may add, change, suspend, or discontinue parts of the Service to improve it, address security or legal requirements, manage third-party dependencies, or respond to business needs. We aim to provide reasonable notice where a change materially reduces a paid Service, unless urgent action is needed.

The Service may occasionally be unavailable or contain errors. We do not promise uninterrupted or error-free operation, permanent availability of any particular feature, or compatibility with every device or third-party service.

15. Suspension, termination, and account closure

You may stop using the Service at any time and may close your account through account settings. Additional deletion instructions are available on our Account Deletion page.

We may restrict, suspend, or terminate access where we reasonably believe you have materially or repeatedly breached these Terms, created legal or security risk, failed to pay, lost the necessary entitlement, or used the Service in a way that could harm another person or the platform. Where appropriate, we will provide notice and an opportunity to resolve the issue.

On termination, your right to use the Service ends. Provisions that by their nature should continue will survive, including those concerning ownership, licences already needed to preserve shared records, payments, disclaimers, liability, disputes, and enforcement.

16. Disclaimers

The Service is provided on an "as available" basis. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and that all content or output will be accurate or suitable for your circumstances.

Nothing in these Terms excludes warranties, remedies, or other rights that cannot lawfully be excluded, including mandatory consumer protections.

17. Liability

To the fullest extent permitted by law, Transforming is not liable for indirect, incidental, special, consequential, or punitive loss, or for loss of profit, revenue, opportunity, goodwill, or data, arising from use of the Service. We are not responsible for User Content, third-party services, or decisions you make based on educational or AI-generated information except to the extent applicable law provides otherwise.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited by law. Your statutory consumer rights remain unaffected.

18. Governing law and disputes

These Terms are governed by the laws of Estonia, without regard to conflict-of-law rules. The courts of Estonia have jurisdiction over disputes, but Transforming may bring proceedings where you reside or operate, and consumers retain any mandatory right to bring a claim in their home jurisdiction.

Before filing a claim, please contact us and provide a reasonable opportunity to resolve the issue informally. This does not prevent either party from seeking urgent relief or using a regulator, consumer body, or small-claims process where available.

19. Changes to these Terms

We may update these Terms when the Service, our business, or legal requirements change. We will update the date above and provide additional notice for material changes where appropriate. Changes apply prospectively from their effective date. If you do not agree to an updated version, you must stop using the Service.

20. General terms

If any provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them in connection with a reorganization, financing, merger, acquisition, or sale of our business. These Terms, the Privacy Policy, and any applicable order or organization agreement form the agreement between us concerning the Service.
